Welcome to Authenti! These Terms and Conditions (“Terms”) govern your use of the Authenti embeddable chat service (the “Service”) provided by Authenti (“Authenti,” “we,” “us,” or “our”). By registering for, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

Authenti provides a Software-as-a-Service (SaaS) solution that enables website owners and operators (“Users,” “you,” “your”) to integrate an embeddable chat widget onto their websites (“User Websites”). This Service is designed to facilitate communication between Users and visitors to their User Websites (“End-Users”) by:

  • Allowing for real-time text-based conversations when the User is online and available.
  • Providing a mechanism for End-Users to leave their contact information and a message when the User is offline or unavailable, enabling follow-up communication.

The Service aims to enhance customer engagement and support capabilities for our Users.

  • Registration: To use the Service, you must register for an account, providing accurate and complete information, including a valid email address. You are responsible for maintaining the confidentiality of your account credentials.
  • Responsibility: You are responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
  • Eligibility: You must be at least 18 years old or the age of majority in your jurisdiction to use the Service.
  • Trial Period: We offer a one-time 14-day free trial period (“Trial Period”) for new Users to evaluate the Service. After the Trial Period, you must subscribe to a paid plan to continue accessing the Service.
  • Subscription Plans: The Service is offered under various subscription plans. Details of our current plans and pricing are available on our website or as presented during the sign-up process.
  • Payment Processing by Paddle: All payments, billing, and subscription management are processed through our third-party payment processor, Paddle.com (“Paddle”). By subscribing to the Service, you agree to Paddle’s terms and conditions and privacy policy, which are separate from these Terms. Authenti does not store your full credit card details. All payment-related inquiries or disputes should be directed to Paddle.
  • Billing: Subscription fees are billed in advance on a recurring basis (e.g., monthly, annually) as specified in your chosen plan and managed by Paddle.
  • Renewals and Cancellations: Your subscription will automatically renew at the end of each billing cycle through Paddle. You may cancel your subscription at any time through the subscription management portal provided by Paddle or by contacting us. Cancellations will take effect at the end of your current paid billing cycle. You will retain access to the Service until the end of that cycle. To avoid being charged for the next billing period, you must cancel your subscription before the renewal date.
  • Service Functionality and Support: If you experience technical issues that prevent the Service from functioning as described, you agree to first contact Authenti support at support@authenti.chat to allow us an opportunity to resolve the issue. If, after a reasonable attempt by us to resolve the technical issue, the Service remains materially non-functional due to a fault on our part, a refund for the affected period may be considered and issued on a case-by-case basis, at our sole discretion. This does not apply to issues arising from your own equipment, internet connectivity, incorrect configuration, or other factors outside of our direct control.
  • No Refunds (General Policy): Subject to the “Service Functionality and Support” clause above, and given the 14-day Trial Period allowing full evaluation of the Service, Authenti does not otherwise offer refunds for any subscription fees paid, including for partial billing periods or if you cancel before the end of your current paid term. The current billing period will be charged in full, and no refunds will be issued for the remaining portion of that period upon cancellation.
  • Changes to Fees: We reserve the right to change our subscription fees. Prices for new subscriptions or new Users are subject to change at any time without prior notice and will be effective immediately upon posting on our website or at the time of subscription. For existing, registered Users with active subscriptions, we will provide at least thirty (30) days’ notice of any increase to their existing subscription fees. Such notice may be provided via email to your registered email address or through a notification within the Service. If you do not agree to the fee increase, you have the option to cancel your subscription before the new fees take effect for your next billing cycle, in accordance with our cancellation policy. Your continued use of the Service after a fee change applicable to your subscription comes into effect constitutes your agreement to pay the modified subscription fee amount.
  • Taxes: You are responsible for all applicable taxes, duties, or levies related to your subscription fees.
  • Embedding the Widget: You are solely responsible for correctly embedding and configuring the Authenti widget on your User Website(s).
  • Compliance with Laws: You agree to use the Service in compliance with all applicable local, state, national, and international laws, rules, and regulations. This includes, but is not limited to, laws related to data privacy, data protection, and the transmission of electronic communications.
  • End-User Data (Your Visitors):
    • You acknowledge that when End-Users interact with the Authenti widget on your User Website, they may provide personal data or other information.
    • You are solely responsible for ensuring that your use of the Service, and your collection and processing of End-User data through the Service, complies with all applicable data privacy laws (e.g., GDPR, CCPA). This includes providing necessary privacy notices and obtaining any required consents from your End-Users for the collection and use of their data via the chat widget.
    • Authenti acts as a data processor for the data transmitted through the chat widget on your behalf. You are the data controller for this information.
  • Prohibited Activities & User Conduct: You agree not to, and not to allow third parties (including your End-Users, to the extent you can control this) to use the Service to:
    • Transmit, display, or store any material that is unlawful, illegal, harassing, libelous, defamatory, abusive, threatening, harmful, violent, vulgar, obscene, pornographic, or otherwise objectionable in any way.
    • Engage in or promote any activity that is discriminatory based on race, sex, religion, nationality, disability, sexual orientation, or age.
    • Transmit or facilitate the transmission of content related to human trafficking, exploitation, or any form of sexual exploitation of children.
    • Infringe upon the intellectual property rights or other rights of third parties.
    • Transmit any unsolicited commercial communications (spam).
    • Transmit any viruses, worms, Trojan horses, or other harmful or destructive code.
    • Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service.
    • Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
    • Misrepresent your identity or affiliation with any person or entity.
  • Consequences of Prohibited Conduct: Violation of these conduct rules may result in the immediate suspension or termination of your account without notice and without refund. Authenti reserves the right to determine, in its sole discretion, what constitutes a violation of these conduct rules.
  • Liability for User Content: Authenti disclaims any liability for the content transmitted by Users or End-Users via the Service. You are solely responsible for the legality and appropriateness of all content associated with your account.
  • Widget Customization: You are responsible for any customizations made to the chat widget (e.g., display name, logo, status messages) and ensuring they are accurate and not misleading.
  • User Content: You (and your End-Users) are solely responsible for the content, data, and information (“Content”) transmitted, stored, or displayed through your use of the Service. Authenti does not claim ownership of any Content.
  • Authenti’s Right to Monitor/Remove: We do not typically monitor Content but reserve the right (though not the obligation) to review Content and to remove or disable access to any Content that we believe, in our sole discretion, violates these Terms or is otherwise harmful.
  1. Service Availability and Modifications
  • Availability: We will use commercially reasonable efforts to make the Service available 24 hours a day, 7 days a week, except for planned downtime for maintenance or any unavailability caused by circumstances beyond our reasonable control.
  • Modifications: We reserve the right to modify, suspend, or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that Authenti will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.
  • Our IP & Copyright: The Service, including all underlying technology, software (source code and object code), features, functionality, design, look and feel, logos, trademarks, trade names, and any associated documentation (“Authenti IP”), are the exclusive property of Authenti and its licensors. Authenti IP is protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
  • License to You: You are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Service solely in accordance with these Terms and for its intended purpose.
  • Restrictions: You agree not to (and not to attempt to or allow any third party to): (i) copy, modify, create derivative works of, reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code of the Service or any part thereof; (ii) sell, resell, license, sublicense, distribute, rent, or lease the Service or any part thereof; (iii) offer for resale, resell, or act as a service bureau for the Service, or otherwise make the Service available to any third party on a commercial resale basis without our express prior written permission; (iv) remove, alter, or obscure any proprietary notices (including copyright and trademark notices) of Authenti or its licensors.
  • Term: These Terms will remain in full force and effect while you use the Service.
  • Termination by You: You may terminate your account and subscription at any time through the subscription management portal provided by Paddle or by contacting us. Termination will typically be effective at the end of your current billing cycle, and you will not be entitled to a refund for any prepaid fees.
  • Termination by Us: We may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, including, but not limited to, if we believe you have violated these Terms. We will make reasonable efforts to notify you of such termination.
  • Effect of Termination: Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. We may delete your account data upon termination, subject to our data retention policies and applicable law.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. AUTHENTI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AUTHENTI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUTHENTI’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO AUTHENTI FOR THE SERVICE IN THE THREE (3) MONTHS PRIOR TO THE ACT THAT GAVE RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

You agree to defend, indemnify, and hold harmless Authenti, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Content caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Service.

These Terms shall be governed and construed in accordance with the laws of British Columbia, Canada, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within British Coumbia for the resolution of any disputes.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

  • Entire Agreement: These Terms constitute the entire agreement between you and Authenti concerning your use of the Service and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.
  • Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
  • No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Assignment: You may not assign these Terms or any of your rights or obligations hereunder, whether by operation of law or otherwise, without our prior written consent. We may assign these Terms in their entirety, without your consent, in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.
